General Business Terms & Conditions
These terms apply to export transactions for jute bags, cotton bags, paper bags and related products supplied by Green Earth Export, subject to the applicable quotation, signed Pro Forma Invoice and any separate written agreement.
The following is a cleaned-up presentation of Green Earth Export’s supplied business terms. The commercial provisions have been retained for review; this page should be legally checked before being used as a binding agreement.
1Read Before Ordering
Please read these export terms and conditions carefully before placing an order or signing a Pro Forma Invoice.
2Price & Incoterms
Unless otherwise requested by the importer, prices are normally quoted on an FOB basis. CFR, CIF or other shipping arrangements may be considered upon the importer’s request and must be confirmed in the relevant quotation or Pro Forma Invoice.
3Packing
Packing is intended to follow the agreed export-packing requirements. The original business terms specify 5-ply or 7-ply cartons to help protect goods during transportation and shipping, with silica gel and poly packing to help reduce moisture and mould risk.
The actual packing specification should be confirmed for each order, taking account of the goods, route and buyer requirements.
Payment Methods & Order Value
4Payment
The original terms specify payment by Telegraphic Transfer (TT) or Letter of Credit (L/C) at sight. Commercial payments are to be made through Green Earth Export’s Kolkata office bank accounts.
Advance payments are not accepted through distributors, agents or representatives. Buyers should use only the payment instructions confirmed in the official Pro Forma Invoice and verify any change in banking details independently with the company.
100% advance TT.
50% advance TT; the balance is payable before dispatch.
40% advance TT; the balance is payable before dispatch.
These order-value bands reflect the thresholds in the original terms. The accepted Pro Forma Invoice must confirm the applicable payment method and schedule for each transaction.
5Delivery Method
Delivery is by air or vessel, as specified in the applicable Pro Forma Invoice or formal order.
6Product Origin
The original terms state that the products’ country of origin is India. The origin applicable to a particular shipment should be reflected in the relevant commercial and customs documents as required.
7Export Agreement & Order Documents
The original terms describe the export agreement as an agreement between the importer (buyer) and Green Earth Export. They state that the buyer accepts the agreement by placing a purchase order or signing the Pro Forma Invoice, together with applicable additional terms in the quotation.
The original text further states that the electronic record of these terms and the quotation is intended to form part of the sale agreement. Where the buyer and Green Earth Export sign a separate formal purchase agreement, that agreement must also be reviewed.
The original terms state that the sale agreement and quotation are to control in the event of a conflict with other invoice terms. The order documents should expressly clarify precedence where any inconsistency arises.
8Jurisdiction
The original terms state that the importer consents to the jurisdiction of the state courts located in Kolkata, India, for suits, actions or proceedings arising from the sale agreement.
This clause should be reviewed by a qualified lawyer to confirm the appropriate jurisdiction and enforceability for the relevant international transaction.
9Invoices, Payment Period & Taxes
Invoices are payable through the designated bankers within the period stated in the Pro Forma Invoice, measured from the invoice date as specified in the original terms. Payments must follow the signed Pro Forma Invoice.
The original terms place responsibility on the importer for sales and other direct or indirect taxes and duties in the importer’s country associated with the Pro Forma Invoice or order, subject to the applicable law and agreed trade terms.
10Shipping Terms & Transit Risk
The original terms state that Green Earth Export’s responsibility ceases upon delivery of the goods at the Kolkata air or sea port. They assign loss or damage during transit by a carrier selected or nominated by the importer, and carrier-caused delays, to the importer.
The actual transfer of risk and responsibility must be checked against the agreed Incoterm, the named place or port and the accepted sales contract. The original clause should not be read as overriding mandatory law or the applicable Incoterm.
11Handmade Products & Variation
The original terms state that handmade products, including jute or cotton bags with hand-printed or screen-printed logos, are not guaranteed or warranted and may have a quantity variation of plus or minus 10%.
They also state that final products may vary from an approved sample due to raw-material availability and exact colour-shade availability during production. Green Earth Export undertakes to make reasonable efforts to supply products consistent with the approved sample or digital image supplied by either party.
Buyers should confirm acceptable quantity and appearance tolerances in writing before placing an order. Any warranty disclaimer or permitted variation must comply with applicable law and the accepted contract.
12Buyer Acceptance
By placing an order with Green Earth Export, the buyer acknowledges and agrees to these business terms together with the terms and conditions stated in the applicable quotation, subject to any separate written agreement and applicable law.
13Delivery Time & Delays
Green Earth Export states that it makes special efforts to supply products on time. Delays may nevertheless occur due to circumstances beyond its control, including heavy rain, natural calamities, strikes and floods.
Any delivery schedule, notification procedure or remedy for delay should be confirmed in the accepted order documents.
14Returns, Complaints & Transit Damage
The original terms request that the importer report product-quality complaints within 48 hours of the goods’ arrival at the air or sea port. Green Earth Export states that it will try to rectify reported problems.
The original terms also state that, if the importer does not notify Green Earth Export within that period about damaged goods, the merchandise will be treated as accepted, and that exported materials cannot be taken back.
Buyers should document visible damage promptly, preserve relevant packaging and shipment evidence, and notify the relevant carrier or insurer where applicable. The 48-hour deadline, deemed-acceptance wording and no-return clause should be legally reviewed before publication and must not override mandatory legal rights.
